Introduction and Acceptance of Terms
These Terms of Service ("Terms") govern the relationship between Zippy Technologies ("Zippy," "we," "us," or "our") and any individual or organization ("Client," "you," or "your") that engages us for software design, development, or related services.
By signing a proposal, statement of work, or contract with us, or by using our website (https://zippytechnology.com) to submit a project inquiry, you agree to be bound by these Terms.
If you do not agree with any part of these Terms, please do not engage our services or submit information through this website.
Description of Services
Zippy Technologies provides custom software development services, including but not limited to:
- Website design and development.
- Custom web application development.
- Mobile application development (Android and iOS).
- Desktop application development.
- Custom software and SaaS development.
- E-commerce development.
- UI/UX design.
- API development and integration.
- Software maintenance and technical support.
Project Proposals, Quotations, and Scope of Work
Every project begins with a written proposal or quotation outlining deliverables, estimated timeline, and cost. Work begins only after the Client has approved the proposal or statement of work ("SOW") in writing and, where applicable, an initial deposit has been received.
Any features, pages, integrations, or functionality not explicitly listed in the approved proposal or SOW are considered outside the original scope and may require a separate change request.
If there is any conflict between these Terms and a signed project agreement, the signed project agreement controls for that project.
Client Responsibilities
To deliver a project on schedule, we rely on the Client to:
- Provide timely feedback, approvals, and decisions at agreed checkpoints.
- Supply all required content, assets, credentials, and third-party accounts (such as domain registrar, hosting, or app store developer accounts) needed to complete the project.
- Ensure that any content, images, trademarks, or materials provided to us are owned by the Client or properly licensed for use.
- Designate a single point of contact authorized to approve deliverables and change requests.
Project Timelines and Dependencies
Estimated timelines are provided in good faith based on the agreed scope and assume timely Client cooperation. Timelines may shift due to delayed Client feedback, scope changes, third-party service delays, app store review processes, or force majeure events outside our reasonable control.
We will communicate any timeline changes as soon as they become apparent.
Payments, Deposits, and Invoicing
Payment terms — including deposit amount, milestone payments, invoicing schedule, accepted currencies, and payment methods — are defined in the applicable proposal or SOW.
The remaining balance is typically due on project completion and before final handover of source code, credentials, or production deployment, unless otherwise agreed in writing.
Overdue invoices may result in paused work until payment is received. Late fees, if applicable, are specified in the invoice or project agreement.
Revisions and Change Requests
Each project includes a defined number of revision rounds per deliverable or milestone as specified in the agreed proposal or SOW. Additional revisions, or changes that alter the originally agreed scope, will be quoted separately before work begins and may affect the project timeline.
Intellectual Property and Ownership
Upon full and final payment for a project, the Client owns the custom source code, designs, and other deliverables created specifically for that project, except for any pre-existing or third-party components described below.
Until full payment is received, all deliverables — including any code, designs, or materials shared during the project — remain the property of Zippy Technologies.
We retain ownership of any pre-existing tools, internal frameworks, boilerplate code, design systems, or reusable components developed independently of a specific Client project. Where such components are incorporated into a deliverable, the Client receives a non-exclusive, perpetual license to use them as part of that deliverable.
We retain the right to display completed projects in our portfolio, case studies, and marketing materials, unless the Client requests confidentiality in writing.
Third-Party Software and Services
Projects may incorporate third-party software, open-source libraries, plugins, APIs, or services (such as payment gateways, cloud infrastructure, or analytics tools). These remain subject to their own respective licenses and terms of service.
Unless otherwise agreed, the Client is responsible for owning and maintaining domain registration, hosting accounts, and any third-party service subscriptions required to run the finished product.
App Store and Google Play Submission
Where a project includes submission to the Apple App Store or Google Play Store, Zippy prepares and submits the application in accordance with each platform's guidelines. Final approval is at the sole discretion of Apple and/or Google, and we cannot guarantee approval timelines or outcomes.
Confidentiality
Both parties agree to keep confidential any non-public business, technical, or project information shared during the engagement, and not to disclose it to third parties without written consent, except as required by law. This obligation continues after the project or relationship ends.
Testing, Acceptance, and Warranty
Before final delivery, Zippy conducts internal testing of agreed functionality. The Client is given a defined review period to test the deliverable against the agreed scope and report any issues. If no response is received within that period, the deliverable is considered accepted as specified in the SOW.
Unless a separate maintenance agreement is in place, bug fixes related to the originally agreed scope are covered for a warranty period defined in the project agreement. This warranty does not cover issues caused by third-party services, Client-made changes after handover, or new feature requests.
Limitation of Liability
The website is provided on an "as is" and "as available" basis without warranties of any kind, to the fullest extent permitted by law.
To the maximum extent permitted by law, Zippy Technologies' total liability for any claim arising from a project is limited to the total amount paid by the Client for that specific project. We are not liable for indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities.
Termination
Either party may terminate an engagement with written notice if the other party materially breaches these Terms and fails to remedy the breach within a reasonable period specified in the project agreement.
Upon termination, the Client pays for all work completed up to the termination date. Zippy delivers all completed work product for which payment has been received.
Governing Law and Dispute Resolution
These Terms are governed by the laws of Pakistan, without regard to conflict-of-law principles. Courts located in Islamabad, Pakistan shall have exclusive jurisdiction over disputes arising from these Terms or a project engagement, unless mandatory law requires otherwise.
Disputes are first addressed through good-faith negotiation between the parties before pursuing formal legal action.
Changes and Contact
We may update these Terms from time to time to reflect changes in our services or legal requirements. The "Last updated" date at the top of this page reflects the most recent revision.
